Terms and Conditions of Business

1. Introduction

These Terms and Conditions ("Terms") govern your use of the AiDrafter platform and services (the "Service"), provided by Property Marvel Ltd ("we," "us," or "our").

By purchasing credits, creating an account, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms apply to both Business Users (using the Service for trade, business, craft, or profession) and Consumers (using the Service for personal purposes wholly outside of a trade or profession).

2. Definitions

"Service" means the AiDrafter web application, API, and associated tools for generating document drafts.
"User" or "You" means the individual or entity accessing the Service, whether as a Business User or a Consumer.
"Output" means the text, HTML, Word or PDF documents generated by the Service based on your inputs.
"Credit" means the virtual currency purchased to access specific drafting features.

3. Nature of the Service (The "Drafting Tool" Disclaimer)

3.1. Drafting Assistant Only: AiDrafter is an automated software tool powered by Artificial Intelligence (AI). It is designed to assist in drafting documentation. It is NOT a substitute for professional legal, financial, health & safety, or expert advice.

3.2. No Legal Advice: The Service does not provide legal advice. The Output is generated based on patterns and user inputs. We do not guarantee that any Output is legally binding, compliant with current laws, or suitable for your specific circumstances.

3.3. Mandatory Review (Solicitor / Expert Consultation): Because we do not provide legal advice, you agree strictly that you will not use any Output for a legal, financial, or commercial purpose without first having it reviewed and approved by a qualified solicitor or relevant subject-matter expert.

3.4. User Responsibility: You acknowledge that you are responsible for the final document. It is your sole responsibility to:

Review all Output for accuracy, relevance, and completeness.
Ensure the Output complies with all applicable laws and regulations (e.g., HSE guidelines, CDM 2015, UK Employment Law, or Consumer Rights).
Edit and amend the Output to reflect the specific reality of your site, project, or situation.

4. Artificial Intelligence Limitations

4.1. Hallucinations: You understand that AI technology can occasionally "hallucinate" or generate plausible-sounding but factually incorrect information. You must verify all facts, regulations, and technical details in the Output.

4.2. No Guarantee of Quality: We do not guarantee that the AI will interpret your prompts correctly every time. The quality of the Output depends heavily on the quality and detail of the inputs you provide.

5. Credits, Payment, and Refunds

5.1. Pricing: Credits are purchased in advance. The price per credit is displayed at the checkout at the time of purchase and includes VAT where applicable.

5.2. Consumer Waiver of Cooling-Off Period (Crucial for Consumers):

If you are a Consumer, you normally have a legal right to change your mind within 14 days of purchase (the "cooling-off period"). However, due to the digital nature of Credits:

By purchasing Credits, you explicitly request immediate performance of the contract and immediate access to the digital content.
You acknowledge that by accessing or using the Credits immediately, you lose your right to cancel the contract and receive a refund once the supply of digital content has begun.

5.3. Usage of Credits:

Drafting: Generating a new document consumes 1 Credit (or as specified for premium documents).
Redrafting Window: Once a credit is spent on a document, you may re-draft or edit that specific document using AI for a period of 30 days without spending additional credits, subject to a fair use policy (interactions with the AI are monitored on a per-document basis).
Expiry of Rights to interact with the AI: After 30 days, the document's credit is expired. To continue interacting with the AI for that document, a new Credit must be spent.

5.4. Non-Refundable: Subject to clause 5.2, all Credit purchases are final and non-refundable. Credits have no monetary value and cannot be exchanged for cash.

5.5. Credit Expiry: We reserve the right to expire unspent credits on your account after 24 months from the date of purchase if not used.

5.6. Document Expiry: We reserve the right to expunge documents from your account after 24 months of no activity on that document.

6. Limitation of Liability

6.1. Mandatory Liability: Nothing in these Terms limits or excludes our liability for:

Death or personal injury caused by our negligence;
Fraud or fraudulent misrepresentation; or
Any other liability that cannot be limited or excluded by English law.

6.2. No Liability for Content: To the fullest extent permitted by law, we accept no liability for any claims, penalties, or damages resulting from the use of the Output. You agree that the Service is a drafting aid only and that you are solely responsible for verifying the legality and accuracy of the generated content before use.

6.3. Liability for Business Users: If you are using the Service for business purposes:

We shall not be liable to you, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, for any loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of goodwill; or any indirect or consequential loss.
Our total aggregate liability to you shall be limited to the total amount paid by you to us in the 12 months preceding the date the claim arose.

6.4. Liability for Consumers: If you are using the Service as a Consumer:

We are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill.
We are not liable for business losses. If you use the Service for any commercial, business, or re-sale purpose, our liability will be limited as set out in Clause 6.3.
We are not liable for errors in Output caused by the inherent limitations of AI (as described in Clause 4) where you failed to verify the information with a professional as required by Clause 3.3.

7. Intellectual Property

7.1. Platform IP: We retain all rights, title, and interest in the AiDrafter platform, code, templates, and prompt engineering.

7.2. Output Ownership: Upon the successful consumption of a Credit, we assign to you a non-exclusive, perpetual, worldwide license to use, reproduce, and modify the generated Output for your personal or business purposes.

8. Account Termination

We reserve the right to suspend or terminate your account immediately if you breach these Terms, use the Service for illegal purposes, or abuse fair-use limits.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.
